2. Acceptance of Terms
By accessing our website or engaging our services, you confirm that:
- You are at least 18 years of age or have reached the age of majority in your jurisdiction
- You have the legal authority to enter into binding agreements
- If representing an organization, you have authority to bind that organization to these terms
- You have read, understood, and agree to be bound by these Terms and Conditions

3. Service Description
Nexalis provides professional consulting services related to artificial intelligence integration, including:
- AI Strategic Planning: Development of AI adoption strategies, readiness assessment, and implementation roadmaps
- AI Team Capability Building: Training programs, workshops, and mentorship to develop internal AI competencies
- AI Integration Services: Technical implementation, system integration, and deployment support for AI solutions
Service Availability
Services are provided subject to resource availability and may require scheduling in advance. We reserve the right to decline service requests that fall outside our areas of expertise or capacity.
Geographic Scope
Our services are primarily provided to clients located in Malaysia. Services for clients in other jurisdictions may be considered on a case-by-case basis.
4. Engagement Process
Initial Consultation
All engagements begin with an initial consultation to understand your requirements and determine whether our services are appropriate. This consultation does not create any obligation for either party to proceed with a formal engagement.
Service Agreement
Formal service provision requires a written service agreement that specifies:
- Scope of services to be provided
- Timeline and milestones
- Fees and payment terms
- Deliverables and success criteria
- Responsibilities of both parties
Changes to Scope
Any changes to the agreed scope of services must be documented in writing and may result in adjustments to fees and timeline. Both parties must approve scope changes before implementation.
5. Client Responsibilities
To enable effective service delivery, clients agree to:
- Provide accurate and complete information relevant to the engagement
- Designate appropriate personnel to participate in workshops, meetings, and training sessions
- Provide timely access to systems, data, and documentation as needed
- Respond to requests for feedback or decisions within agreed timeframes
- Maintain confidentiality of any proprietary methodologies or materials shared by Nexalis
- Use deliverables and trained capabilities in accordance with applicable laws and ethical standards
Data Provision
Clients are responsible for ensuring they have appropriate rights to share any data provided to Nexalis and that such data complies with applicable privacy and data protection regulations.
6. Intellectual Property
Nexalis Intellectual Property
All methodologies, frameworks, training materials, and proprietary approaches used by Nexalis remain our intellectual property. Clients receive a limited, non-exclusive license to use deliverables for their internal business purposes only.
Client Intellectual Property
All client data, business information, and pre-existing intellectual property remain the property of the client. Nexalis will not use such information except as necessary to provide agreed services.
Work Product
Deliverables created specifically for the client (such as strategic plans, implementation documentation, and customized training materials) become the property of the client upon full payment, subject to Nexalis retaining rights to underlying methodologies and reusable components.
7. Payment Terms
Fees
Service fees are specified in individual service agreements. Published prices on our website are indicative and may be adjusted based on specific requirements.
Currency and Payment Methods
All fees are quoted in Malaysian Ringgit (RM) unless otherwise specified. Payment can be made by bank transfer or other methods as agreed in the service agreement.
Payment Schedule
Payment terms vary by engagement type:
- Strategic Planning engagements: 50% upon agreement signing, 50% upon completion
- Team Capability Building: Payment in installments aligned with program phases
- Integration Services: Milestone-based payments as specified in service agreement
Late Payment
Invoices are due within 30 days of issuance unless otherwise specified. Late payments may incur interest charges at a rate of 1.5% per month or the maximum allowed by law, whichever is lower.
Refund Policy
Refunds are evaluated on a case-by-case basis. If services are terminated by mutual agreement before completion, fees will be prorated based on work completed to date.
8. Confidentiality
Both parties agree to maintain confidentiality of sensitive information shared during the engagement. This includes:
- Business strategies and plans
- Technical information and data
- Financial information
- Proprietary methodologies
Confidentiality obligations do not apply to information that:
- Is or becomes publicly available through no breach of this agreement
- Was already in the receiving party's possession
- Is independently developed without use of confidential information
- Must be disclosed to comply with legal requirements
9. Disclaimers
Service Provision
While we strive to provide high-quality services, we provide our services "as is" without warranties of specific outcomes. AI implementations involve inherent uncertainties, and results may vary based on factors outside our control.
No Guarantee of Results
We do not guarantee specific business results, performance improvements, or return on investment from AI implementations. Success depends on many factors including organizational commitment, data quality, and proper utilization of capabilities developed during engagement.
Professional Advice
Our services constitute professional consulting advice based on our expertise and experience. However, we are not legal, financial, or regulatory advisors. Clients should consult appropriate professionals for such matters.
10. Limitation of Liability
To the maximum extent permitted by law:
- Our total liability for any claims arising from our services shall not exceed the total fees paid by the client for the specific engagement giving rise to the claim
- We shall not be liable for indirect, consequential, or incidental damages including lost profits, business interruption, or loss of data
- Claims must be brought within one year of the circumstances giving rise to the claim
Force Majeure
Neither party shall be liable for failure to perform obligations due to circumstances beyond reasonable control, including natural disasters, government actions, pandemics, or infrastructure failures.
11. Termination
Termination by Client
Clients may terminate services by providing 30 days written notice. Fees for work completed to the termination date will be due and payable.
Termination by Nexalis
We may terminate services if:
- Client fails to make timely payments
- Client fails to meet agreed responsibilities that prevent service delivery
- Client requests activities that would be unethical or illegal
Effects of Termination
Upon termination, each party will return or destroy confidential information belonging to the other party. Obligations regarding confidentiality and intellectual property survive termination.
12. Dispute Resolution
Governing Law
These Terms and Conditions are governed by the laws of Malaysia. Any disputes shall be subject to the exclusive jurisdiction of the courts of Malaysia.
Informal Resolution
Before initiating formal proceedings, parties agree to attempt resolution through good-faith discussions between senior representatives.
Mediation
If informal discussions do not resolve the dispute within 30 days, parties agree to attempt mediation through a mutually agreed mediator before pursuing litigation.
13. General Provisions
Entire Agreement
These Terms and Conditions, together with any written service agreement, constitute the entire agreement between parties regarding use of our website and services.
Severability
If any provision is found to be unenforceable, the remaining provisions shall continue in full force and effect.
Waiver
Failure to enforce any provision does not constitute a waiver of that provision or any other provision.
Assignment
Clients may not assign their rights or obligations under these terms without our written consent. We may assign our rights and obligations to affiliated entities or in connection with a merger or acquisition.
Notices
All notices under these terms shall be in writing and sent to the email addresses or physical addresses specified in the service agreement. Notices are deemed received when acknowledged or after 3 business days if sent by mail.
14. Changes to Terms
We may update these Terms and Conditions periodically. Changes will be posted on our website with a revised "Last Updated" date. Continued use of our website or services after changes constitutes acceptance of the revised terms.
For significant changes that affect existing service agreements, we will notify clients directly and provide opportunity to review the changes before they take effect.
